By accessing this website and purchasing products from Upgrade Training Services and its related brand, Sage College Coach (hereafter SCC), you are agreeing to be bound by these Terms of Use and all applicable laws and regulations.
IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, YOU ARE PROHIBITED FROM AND INFORMED NOT TO USE OR ACCESS THIS SITE NOR TO PURCHASE ANY OF THE PRODUCTS MADE AVAILABLE TO THE PUBLIC BY SAGE COLLEGE COACH AND ITS RELATED ENTITIES.
2. Grant of License
Permission is granted to temporarily download one copy of any downloadable materials (guides, workbooks, or templates) on the SCC website for personal, non-commercial private viewing only. This permission is the grant of a license, not a transfer of title, and under this license you may not:
Modify or copy the materials;
Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);

OUR SERVICES, TRAINING, AND PRODUCTS ARE DESIGNED TO PROVIDE GUIDANCE AND ARE NOT A GUARANTEE OF ADMISSION TO ANY SPECIFIC INSTITUTION OR A GUARANTEE OF FINANCIAL AID/SCHOLARSHIP AWARDS.
4. Limitations
In no event shall SCC or Upgrade Training Services be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials or training provided by SCC, even if SCC has been notified of the possibility of such damage.

8. Governing Law
Any claim relating to SCC and its related entities' website shall be governed by the laws, venue, and jurisdiction of Queens County, State of New York, without regard to its conflict of law provisions.
9. Relationship of Parties
It is understood by you that you are a Customer or Licensee only. SCC will not provide any fringe benefits, insurance, or otherwise upon your becoming a member or customer.
10. Consent
Upon purchasing a course or product from SCC, you consent to receive emails about content updates, admissions deadlines, promotions, and various other newsletters.
11. Your Content & Intellectual Property
11.1. Ownership: SCC does not claim ownership over any content you create (e.g., your personal application essays or data) while using our tools. You represent and warrant that you have the rights to any content you upload.
11.2. Use of Business Name: To promote our community or success stories, SCC may use your first name or likeness (subject to your approval) to share success stories.
11.3. Non-Exclusive Services: We reserve the right to provide our products to other students and families and do not guarantee exclusivity in any particular market segment.
12. Fees and Payments
12.1. Fees: You are required to pay SCC for every product or course you use. Payments are processed through third-party processors (like Stripe or PayPal). All fees are in US dollars.
12.2. Subscriptions: If you purchase a subscription-based product, you will be charged in advance on a recurring billing cycle (monthly or annual). You may cancel your subscription at any time via your account settings; however, your access will continue until the end of the current billing cycle.
12.3. Taxes: Prices do not include taxes unless otherwise indicated. You are responsible for any applicable sales or use taxes.
12.4. Refund Policy: We aim to make every customer's experience a positive one. We offer a full refund within thirty (14) days of initial sign-up/purchase, no questions asked. To request a refund, email [email protected] within 14 days. After 14 days, all payments are non-refundable.
12.5. Intellectual Property & Transfer Restrictions: SCC provides access to proprietary templates, college search frameworks, and an entire suite of online education. These resources are for use within the SCC ecosystem. We reserve the right to decline any requests to "export" or "transfer" our proprietary course structures, video modules, or automated strategy tools to third-party platforms or competitors. Should you choose to cancel your membership, you must recreate any assets or strategy maps on your own, as SCC is under no obligation to facilitate the migration of our intellectual property to a competitor’s software or service.
